Corporate & Transactional
EM³ represents clients across the full spectrum of corporate and transactional matters, guiding businesses from formation through growth, financing, governance, and strategic transactions, with the responsiveness, efficiency, and cross-disciplinary depth that middle market clients expect.

Overview
EM³'s corporate practice represents clients of all sizes across the full spectrum of corporate transactions and guides companies through every stage of the business lifecycle, from formation and early-stage growth through operational maturity, strategic transactions, and liquidity events. The Firm represents founders, early investors, buyers, sellers, and their advisors in connection with an extensive list of transactions, including business formations, mergers, asset acquisitions, equity purchases, equity dispositions, joint ventures, controlling and minority investments, divestitures, and spin-offs.
Lenders and borrowers alike turn to the Firm for financing transactions of every description, from conventional bank loans and revolving credit facilities to highly complex structured finance transactions and customized capital solutions. The Firm draws on its collective experience to give clients creative, commercially sound analysis and advice from initial concept through closing, even in the most complex transactions.
The Firm also works closely with clients to establish new legal entities, whether corporations, limited liability companies, partnerships, or trusts, and to help maintain ongoing compliance with all applicable legal and regulatory requirements. Clients regularly engage the Firm on day-to-day operational, governance, and compliance matters as well, including the drafting, negotiation, and review of commercial contracts, leases, licenses, and other instruments that arise in the ordinary course of business.
Our corporate practice works closely with the Firm's M&A, securities, employment, real estate, and IP teams, so clients can draw on each team's experience without the coordination costs or the premium rates of engaging multiple firms. This cross-practice model is especially useful to closely held businesses and family offices that rely on the Firm as a single point of contact for all their legal needs.
Governance & Compliance
The Firm counsels boards of directors, managers, and owners on governance matters, fiduciary duties, and compliance programs, particularly those affecting middle market companies. Our governance practice addresses entity formation and restructuring, operating agreement and bylaw drafting, board and committee charters, conflict-of-interest policies, and regulatory compliance frameworks. For clients in regulated industries, the Firm designs compliance programs that meet industry-specific requirements and are still practical and cost-effective.
