Outside General Counsel
EM³ acts as an extension of clients’ leadership teams, giving growing businesses responsive, commercially minded counsel on the full range of legal matters they face, without the cost of a full-time law department.

Overview
For many middle market companies, family offices, and closely held enterprises, retaining a large law firm as outside general counsel is impractical, but the legal demands of running a growing business still call for experienced, responsive, and commercially minded counsel. EM³ fills this role. The Firm acts as an extension of the client's leadership team and gives day-to-day legal guidance on the full range of matters that arise in the ordinary course of business.
As outside general counsel, the Firm brings continuity of knowledge and relationship. That continuity helps reduce ramp-up time, improve responsiveness, and keep legal advice informed by the client's business, industry, and strategic objectives. Clients have a single point of contact for corporate, transactional, regulatory, employment, real estate, IP, and litigation matters, without the coordination costs and information gaps that arise when multiple firms are engaged.
Scope of Services
The Firm's outside general counsel engagements cover corporate governance and compliance, commercial contract drafting and negotiation, employment counseling, risk management and dispute resolution strategy, regulatory compliance, real estate matters, and IP protection. When a matter requires niche expertise, the Firm also manages outside specialist counsel on the client's behalf, including coordinating their work and controlling cost.
Client Types
The Firm is outside general counsel to closely held businesses, family offices, PE-backed portfolio companies, emerging growth companies, nonprofit organizations, and high-net-worth individuals with complex business interests. It tailors each engagement to the client's needs, from fixed-fee retainer arrangements to on-demand advisory relationships.
